Terms of Use — Creators
Rules for those who create content and get paid through Nido
Document under review. Nido's incorporation is in progress — registration details and the data protection officer's channel will be added once issued.
This document applies to you if you use Nido as a creator: joining campaigns, submitting content, and being paid for it.
If you represent a company that commissions campaigns, the applicable document is the Terms of Use — Companies.
Acceptance
1.1These Terms form a contract between you and Nido ("Nido") and govern your use of the platform at app.nido.global.
1.2By opening an account, signing in with a social network, or joining any campaign, you confirm that you have read and agree to these Terms and to the Privacy Policy.
1.3If you do not agree, do not use the platform.
Who may use it
2.1You must:
- Be 18 or older and have full legal capacity;
- Give truthful information when registering and keep it up to date;
- Be the holder of the social accounts you connect;
- Provide a valid Brazilian tax ID and the data required for payment, if you want to be paid.
2.2One person may hold one account. Multiple accounts used to multiply campaign participation may be closed and the amounts held.
Account and connected identities
3.1Creator access works through social sign-in — X, Google, Discord, Instagram, or TikTok — brokered by Privy. The account is created on first access.
3.2You are responsible for the security of the accounts you sign in with. Nido has no access to your passwords on those networks.
3.3Disconnecting a social network may prevent you from joining campaigns that depend on it and may interrupt measurement of content already delivered.
How campaign participation works
4.1Each campaign has its own rules: what to deliver, on which network, by when, what is measured, and how payment is calculated. Those rules are shown before you join and form part of this contract as to that campaign.
4.2Nido curates: joining a campaign depends on approval, and there is no guarantee you will be accepted onto any.
4.3Delivering what was agreed is a condition of being paid. Delivery after the deadline, outside the brief, or from an account other than the one registered may be refused.
4.4A post deleted, made private, or removed by the network itself before the measurement period ends may be disregarded in the calculation.
Your content
5.1The content is yours. You keep all rights in what you create.
5.2By submitting content to a campaign, you grant Nido and that campaign's advertiser a non-exclusive, royalty-free licence, for the campaign's duration and the following 12 months, to display, reproduce, and quote the content in campaign promotion materials, in portfolios, and in performance reports.
5.3Use of your content in paid media, outside the networks where it was published, or for longer than clause 5.2 allows, requires a specific agreement and separate payment.
5.4You confirm the content is original, that you hold the rights to everything appearing in it — including music, third-party likeness, and licensed material — and that it infringes nobody's rights.
5.5Advertising disclosure. Content published for payment is advertising and must be clearly identified as such, within the post itself, as Brazilian law and the rules of the network used require. That obligation is yours, and Nido may refuse a delivery that fails to meet it.
Payment
6.1The amount owed is calculated by the campaign's rules. On conversion-based campaigns, what pays is the verified conversion — not the number of views or likes.
6.2Measurement uses data from the social networks themselves and tracked links generated by Nido. Nido depends on that data and does not guarantee it will be complete or available at all times; a discrepancy you raise will be checked.
6.3Payment is made in US dollars via USDC stablecoin, or the equivalent in Brazilian reais via PIX, as you choose among the options available, within 15 days of the delivery being validated.
6.4Payment by PIX requires a Brazilian tax ID and a PIX key held in your own name, plus the identity verification the provider requires. Payment in USDC requires a valid wallet address on the stated network.
6.5A wrong wallet address makes the payment unrecoverable: a blockchain transaction is irreversible and Nido cannot undo it. Check the address before confirming.
6.6Taxes on what you receive are your responsibility. Nido does not withhold or remit tax on your behalf except where the law obliges it to.
Wallet and withdrawals
7.1The platform may create and maintain a digital wallet tied to your account, operated by a third-party provider, to receive campaign payments.
7.2That wallet is a means of receiving payment. It is not a bank account, not an investment, and earns nothing. A stablecoin balance is exposed to the risk of the asset itself and of the network it circulates on.
7.3Withdrawal by PIX requires identity verification completed with the payment provider, which may require a document, a selfie, and a liveness check. Without that, withdrawal is not released.
7.4A withdrawal may take varying time for reasons outside Nido's control: provider review, network congestion, or banking service outages.
Fees
8.1Applicable fees are always shown on the platform before you confirm an operation, along with the net amount you will receive.
8.2As at the date of this version, withdrawals carry a platform fee of 0.5% of the amount withdrawn, on top of the fee charged by the payment provider. Joining a campaign and being paid for it carry no fee.
8.3Fees may change. A change applies to future operations and is shown before confirmation; nothing is charged retroactively.
Prohibited conduct
Nido's model pays for real results. Manipulating the result is the biggest threat to that, so the rule is strict:
9.1You must not:
- Use bots, automation, purchased engagement, artificial clicks, or any means of inflating a metric;
- Generate false conversions, your own or arranged with others, in order to be paid for them;
- Publish plagiarised content, content made to deceive, or claims about the advertised product that you have not verified;
- Create multiple accounts, use someone else's identity, or transfer your account;
- Interfere with the platform's systems, attempt to circumvent measurement, or reverse engineer any part of it;
- Disclose confidential campaign information before the agreed launch.
9.2Fraud detection combines automated checks with human analysis. You may request human review of any automated decision, as set out in the Privacy Policy.
Points, badges, and rankings
10.1The platform may award points, badges, tracks, and ranking positions based on your participation.
10.2Points are not money: they have no monetary value, cannot be redeemed, cannot be transferred, and may be adjusted or cleared where there was a calculation error or fraud.
10.3Your username, picture, and aggregate results may appear in rankings visible to other platform users.
Communities and messages
11.1In communities you interact with companies and other creators. What you write there is recorded, including direct messages, and is accessible to the participants in the conversation and to Nido's administrators.
11.2Harassment, hate speech, disclosure of someone else's personal data, and offering prohibited services lead to content removal and may lead to your account being closed.
11.3Some campaigns and communities require membership of a Discord server. In that case Nido checks whether your account is a member, and nothing more.
AI assistant
12.1The platform may offer an AI assistant, currently available to a restricted test group.
12.2What you type into the conversation is processed by a third-party service. Do not enter another person's personal data or confidential information.
12.3The AI's answer may be wrong. Checking it before acting is your responsibility, and Nido is not answerable for a decision taken on the basis of it.
Suspension and held funds
13.1Nido may suspend access and hold pending amounts while investigating signs of fraud, breach of these Terms, or a requirement from an authority.
13.2Holding funds is precautionary and temporary. If everything checks out, the amount is released; if fraud is confirmed, what was obtained through it is not owed.
13.3You will be told the reason and may contest it at nidocontact@proton.me, with whatever evidence you have.
Nature of the relationship
14.1You act independently, without subordination, fixed hours, or exclusivity, unless a specific campaign agreement provides for exclusivity and pays for it.
14.2These Terms create no employment, partnership, agency, or representation relationship between you and Nido, or between you and the advertising companies.
14.3You choose whether to join each campaign, and declining has no consequence for your account.
Liability
15.1The platform is provided as is. Nido does not guarantee uninterrupted availability, nor the result of any campaign.
15.2Nido is not answerable for:
- A social network's decision to remove content, limit reach, or suspend your account;
- Outage, delay, or error in a third-party service, including payment and data providers;
- Failure, congestion, or rule changes on a blockchain network;
- An advertising company's conduct outside the platform;
- Loss arising from an incorrect wallet address you provided.
15.3Nothing in this section excludes liability that Brazilian law does not permit to be excluded, including under the Consumer Protection Code where applicable.
Personal data
16.1How your data is handled is set out in the Privacy Policy, which forms part of these Terms.
16.2A payment recorded on a blockchain is public and permanent, and cannot be erased on request. The Privacy Policy explains this.
Ending the relationship
17.1You may end the relationship at any time by stopping use of the platform. Amounts already owed for validated deliveries remain owed.
17.2To request deletion of your account and data, write to nidocontact@proton.me. Financial records are kept for the statutory period, as set out in the Privacy Policy.
17.3Nido may close your account for breach of these Terms, confirmed fraud, or legal requirement, stating the reason.
Changes
18.1These Terms may change. The version and date are at the top of this page.
18.2A material change is communicated through the platform or by email before it takes effect. Continuing to use the platform afterwards means accepting the new version.
18.3A change does not apply retroactively to a campaign already running under earlier rules.
Governing law and jurisdiction
19.1These Terms are governed by Brazilian law.
19.2The parties will seek to resolve any disagreement by direct negotiation before going to court.
19.4If any clause is held invalid, the rest remain in force.
